Siemens’ wind power business (Siemens Wind Power A/S) and Gamesa Corporacion Tecnologica, S.A., both wind turbine manufacturing companies, are involved in a merger to develop into a leading global wind power player.
According to the deal, Siemens will obtain newly issued shares of this combined company and account for 59% of the share capital and Gamesa’s existing shareholders will account for 41%. Ownership includes: Siemens 59%, Iberdrola ~8%, and free float ~33%. The merger will see Siemens fund a cash payment amounting to €3.75 ($4.21) per share, which will be allotted to Gamesa’s shareholders (excluding Siemens), immediately after the completion of the merger.
